JobDocs End User Licence Agreement

Effective Date: 16 February 2026

Welcome to JobDocs! This End User Licence Agreement (EULA) is a legal agreement between you and DESIGNER BUILDER COLLECTIVE PTY LTD Trading As JOBDOCS AI (ACN 684 253 058) (JobDocs, we, us, or our). It governs your use of our online document builder platform, including any related applications, tools, application programming interfaces (APIs), and services (collectively, the Service).

This EULA should be read together with our Terms and Conditions and Privacy Policy, available on our Website. To the extent of any inconsistency between this EULA and the Terms and Conditions, the Terms and Conditions prevail.

By creating an account, accessing, or using the Service, you agree to be bound by this EULA. If you do not agree, you must not access or use the Service.

If you are using the Service on behalf of a company or other entity, you represent and warrant that you have the authority to bind that entity to this EULA, and you and your will refer to both you individually and that entity.

1. DEFINITIONS AND INTERPRETATION

1.1 Definitions

In this EULA, unless the context requires otherwise:

Account means your registered account on the Service.

AI Features means the artificial intelligence-powered features and functionality available within the Service, including AI-generated content, AI proposal writers, and automated document generation tools.

Content means any text, images, logos, data, documents, or other materials you upload, create, or generate using the Service.

Documents means proposals, quotes, invoices, capability statements, client welcome packs, handover briefs, and any other materials created by you using the Service.

Licensed Content means templates, design elements, page layouts, sample text, icons, and other content provided by JobDocs or third-party content providers for use within the Service.

Plan means the subscription tier you have selected (Free, Essentials, Pro, or Enterprise), which determines the features and limits available to you.

Terms and Conditions means the JobDocs Terms and Conditions, as amended from time to time.

Website means the JobDocs website and any related mobile applications or platforms.

1.2 Interpretation

In this EULA, unless the context indicates otherwise:

(a)   references to a person include an individual, company, partnership, or other entity;

(b)   headings are for reference only and do not affect interpretation;

(c)   words in the singular include the plural and vice versa;

(d)   references to clauses are references to clauses in this EULA;

(e)   "including" and similar expressions are not words of limitation; and

(f)     a reference to any statute includes amendments, re-enactments, or replacements.

2. LICENCE GRANT

2.1 Subject to your compliance with this EULA and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service in accordance with your Plan.

2.2 This licence is for your internal business or personal use only. You may use the Service to create, edit, store, export, and share Documents with your clients and team members as permitted by your Plan.

2.3 This licence does not grant you any ownership of the Service, the underlying software, or any Licensed Content. You are granted a right to use the Service, not a right to own it.

2.4 The scope of your licence depends on your Plan. Features, template access, export options, team access, and AI Features vary by Plan. Details of each Plan are available on our Website and in the Terms and Conditions.

3. YOUR CONTENT

3.1 Ownership

(a)   You retain all ownership rights in your Content and Documents.

(b)   JobDocs does not claim ownership of your Content.

(c)   You are solely responsible for your Content and the consequences of uploading or publishing it.

3.2 Licence to JobDocs

By uploading Content to the Service, you grant JobDocs:

(a)   A non-exclusive, worldwide, royalty-free licence to store, host, display, reproduce, and process your Content solely for the purpose of providing and improving the Service;

(b)   This licence continues for as long as your Content remains on the Service;

(c)   You may delete your Content at any time, subject to technical limitations and backup copies.

3.3 Your Representations

You represent and warrant that:

(a)   You own or have the necessary rights to use your Content;

(b)   Your Content does not infringe any third-party rights;

(c)   Your Content complies with this EULA, the Terms and Conditions, and applicable laws.

3.4 AI-Generated Content

IMPORTANT: AI-generated content may contain errors, inaccuracies, or inappropriate material. If you use our AI Features:

(a)   The content generated is based on your inputs and prompts;

(b)   You are responsible for reviewing, editing, and verifying all AI-generated content before use;

(c)   You must ensure AI-generated content is appropriate for your intended purpose and complies with applicable laws;

(d)   You must not rely solely on AI-generated content for legal, financial, or professional advice;

(e)   JobDocs does not warrant the accuracy, completeness, or suitability of AI-generated content.

3.5 AI Training and Data Use

(a)   JobDocs does not use your Content or Documents to train AI models;

(b)   We may use aggregated, anonymised usage data to improve AI Features;

(c)   Third-party AI providers may process your inputs in accordance with their privacy policies;

(d)   You retain all rights to content you create using AI Features.

3.6 Feedback

If you provide feedback, suggestions, or ideas about the Service:

(a)   You grant JobDocs an unlimited, perpetual, irrevocable licence to use such feedback;

(b)   JobDocs has no obligation to implement or credit your feedback;

(c)   JobDocs may use your feedback to improve the Service without compensation to you.

4. LICENSED CONTENT

4.1 We provide Licensed Content (including templates, page designs, and sample text) for you to use within the Service to create your Documents. Your use of Licensed Content is subject to this EULA, your Plan, and the Content License Agreement set out in Schedule A of the Terms and Conditions.

4.2 You may use Licensed Content in Documents you create for your business or clients. You may not:

(a)   Redistribute, resell, or sublicence Licensed Content;

(b)   Use Licensed Content outside of the Service on a standalone basis;

(c)   Claim ownership of Licensed Content;

(d)   Extract Licensed Content from the Service.

4.3 All intellectual property rights in the Licensed Content remain with JobDocs or our licensors.

5. RESTRICTIONS

You must not use the Service to:

(a)   Copy, modify, adapt, reverse engineer, decompile, or disassemble any part of the Service or its underlying software;

(b)   Use the Service to build a competing product or service, or to replicate the core functionality of the Service for distribution to others;

(c)   Share, transfer, sell, or sublicence your Account credentials or access to the Service to any third party, except as expressly permitted by your Plan;

(d)   Use the Service in any way that violates applicable laws or regulations, or infringes the rights of others;

(e)   Upload or transmit any viruses, malware, or malicious code through the Service;

(f)     Attempt to gain unauthorised access to the Service, other users' accounts, or any related systems or networks;

(g)   Use automated tools (bots, scrapers, or similar) to access the Service, except through our published API in accordance with Section 7;

(h)   Remove, alter, or obscure any proprietary notices, labels, or branding on the Service or Licensed Content;

(i)     Use AI Features to generate illegal, defamatory, harmful, or misleading content;

(j)     Engage in any activity prohibited by the Acceptable Use Policy in the Terms and Conditions.

6. ACCOUNT AND ACCESS

6.1 You must register for an Account to use the Service. You are responsible for:

(a)   Maintaining the confidentiality of your Account credentials;

(b)   All activities conducted through your Account;

(c)   Notifying us immediately of any unauthorised use of your Account;

(d)   Ensuring your Account information is accurate and up to date.

6.2 If your Plan includes team access, you are responsible for ensuring that your team members comply with this EULA. You remain liable for any actions taken by team members through your Account.

6.3 You must not create multiple Accounts for yourself or create an Account using false or misleading information.

7. API ACCESS AND INTEGRATIONS

7.1 If you access the Service via our application programming interface (API), you agree to use the API solely in accordance with our published API documentation and any applicable API terms of use.

7.2 We may impose rate limits, usage restrictions, or other technical constraints on API access. You agree not to exceed these limits or attempt to circumvent them.

7.3 We reserve the right to modify, suspend, or discontinue API access at any time, with reasonable notice where practicable.

7.4 The Service may integrate with or link to third-party services (such as Xero, QuickBooks, or payment processors). Your use of any third-party services is subject to their own terms and conditions. JobDocs is not responsible for the availability, accuracy, or content of any third-party services.

8. FEES, PAYMENT, AND CANCELLATION

8.1 Subscription fees, payment terms, billing cycles, automatic renewal, refund policies, and cancellation procedures are set out in the Terms and Conditions. This EULA incorporates those terms by reference.

8.2 We may offer free trials of paid Plan features. At the end of the trial period, your Account will revert to the Free Plan unless you subscribe to a paid Plan. Any Content or settings created during the trial will be retained, but access to paid features will be restricted.

8.3 You may cancel your subscription at any time through your Account settings. Cancellation will take effect at the end of your current billing period.

9. INTELLECTUAL PROPERTY

9.1 The Service, including all software, designs, text, graphics, interfaces, code, and underlying technology, is owned by JOBDOCS AI (ACN 684 253 058) and is protected by Australian and international intellectual property laws.

9.2 The JobDocs name, logo, and all related marks are trademarks of JOBDOCS AI. You may not use our trademarks without our prior written consent, except to the extent necessary to reasonably identify the Service in connection with your permitted use.

9.3 Nothing in this EULA transfers any intellectual property rights in the Service to you, except for the limited licence granted in Section 2.

10. PRIVACY AND DATA

10.1 Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the Service, you consent to the practices described in our Privacy Policy.

10.2 We implement reasonable security measures to protect your Content and personal information. However, no system is completely secure, and we cannot guarantee absolute security.

10.3 You may export your Content from the Service at any time during your subscription. Upon termination of your Account, we will retain your Content for up to 30 days to allow you to retrieve it. After 30 days, your Content and Documents may be permanently deleted.

10.4 Your data may be stored and processed in Australia, the United States, or other countries where our service providers operate. By using the Service, you consent to international data transfers as necessary to provide the Service.

11. DISCLAIMERS

11.1 THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11.2 We do not warrant that:

(a)   The Service will be uninterrupted, error-free, or free of harmful components;

(b)   The Service will meet your specific requirements;

(c)   Documents created using the Service will achieve any particular result for your business;

(d)   Defects will be corrected.

11.3 JOBDOCS DOES NOT PROVIDE LEGAL, FINANCIAL, BUSINESS, OR PROFESSIONAL ADVICE. Documents created using the Service are not a substitute for professional advice. You should consult qualified professionals for advice specific to your situation.

11.4 Australian Consumer Law

Nothing in this EULA excludes, restricts, or modifies any:

(a)   Statutory rights you may have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth));

(b)   Consumer guarantees that cannot be excluded by law;

(c)   Rights you may have under other applicable laws.

If the Australian Consumer Law applies and we breach a consumer guarantee:

(a)   Our liability is limited, at our option, to re-supplying the Service or paying the cost of re-supplying the Service;

(b)   This limitation does not apply to guarantees that cannot be limited by law.

12. LIMITATION OF LIABILITY

12.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW:

(a)   Our total liability for any claims arising from or related to this EULA or the Service will not exceed the greater of: (i) AUD $100; or (ii) the total amount of subscription fees you have paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.

(b)   We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, business opportunities, or goodwill, arising out of or in connection with this EULA or your use of the Service.

12.2 These limitations apply:

(a)   Regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise;

(b)   Even if we have been advised of the possibility of such damages;

(c)   Even if a remedy fails of its essential purpose.

13. INDEMNIFICATION

13.1 You agree to indemnify, defend, and hold harmless JobDocs, its affiliates, officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to:

(a)   Your use or misuse of the Service;

(b)   Your Content and Documents;

(c)   Your breach of this EULA or the Terms and Conditions;

(d)   Your violation of any applicable laws or regulations;

(e)   Your infringement or misappropriation of any third-party rights.

13.2 Defence and Settlement

(a)   We will notify you promptly of any claim subject to indemnification;

(b)   You will have sole control over the defence and settlement of such claims;

(c)   We may participate in the defence at our own expense;

(d)   You may not settle any claim without our prior written consent if the settlement imposes obligations on us.

14. TERMINATION

14.1 You may cancel your subscription and close your Account at any time through your Account settings or by contacting our support team. Cancellation will take effect at the end of your current billing period.

14.2 We may suspend or terminate your access to the Service immediately if:

(a)   You breach any provision of this EULA or the Terms and Conditions;

(b)   Your use of the Service poses a security risk to the Service or other users;

(c)   You fail to pay subscription fees;

(d)   We are required to do so by law or regulatory authority;

(e)   Your Account has been inactive for an extended period (we will notify you before taking action in this case).

14.3 Effects of Termination

Upon termination or cancellation:

(a)   Your licence to use the Service ends immediately;

(b)   You should export any Documents you wish to retain before cancellation;

(c)   Your Content may be deleted after 30 days in accordance with Section 10.3;

(d)   Sections 3, 5, 9, 11, 12, 13, 15, and 16 will survive termination.

15. CHANGES TO THIS EULA

15.1 We may update this EULA from time to time to reflect changes to the Service, our practices, or applicable law.

15.2 When we make material changes, we will notify you by:

(a)   Posting the updated EULA on the Website;

(b)   Sending an email notification to the address associated with your Account; or

(c)   Displaying a notice within the Service.

15.3 We will provide at least 30 days' notice before material changes take effect. Your continued use of the Service after the updated EULA takes effect constitutes your acceptance of the changes. If you do not agree, you must stop using the Service and may cancel your subscription.

16. GOVERNING LAW AND DISPUTE RESOLUTION

16.1 This EULA is governed by and construed in accordance with the laws of the Australian Capital Territory, Australia, without regard to conflict of law principles.

16.2 For users located in Australia, any disputes will be subject to the exclusive jurisdiction of the courts of the Australian Capital Territory, Australia.

16.3 For users located outside Australia, we both agree to attempt to resolve disputes through good faith negotiation before resorting to formal proceedings.

16.4 Before commencing any legal action, you must contact us describing the dispute. We will attempt to resolve the dispute informally within 30 days. If we cannot resolve the dispute informally, either party may pursue formal proceedings.

17. GENERAL PROVISIONS

17.1 Entire Agreement. This EULA, together with the Terms and Conditions, Privacy Policy, and any other documents incorporated by reference, constitutes the entire agreement between you and JobDocs regarding the licensing of the Service.

17.2 Supremacy. To the extent of any inconsistency between this EULA and the Terms and Conditions, the Terms and Conditions prevail.

17.3 Severability. If any provision of this EULA is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it valid, and the remaining provisions will remain in full force and effect.

17.4 Waiver. Our failure to enforce any provision does not constitute a waiver. Waiver of any provision must be in writing. Waiver of one breach does not waive subsequent breaches.

17.5 Assignment. You may not assign or transfer this EULA or your Account without our written consent. We may assign or transfer this EULA or our rights at any time without notice. This EULA binds and benefits the parties and their permitted successors and assigns.

17.6 Notices. We will send notices to the email address associated with your Account. You must send notices to us at: info@jobdocs.ai. Notices are deemed received when sent to a valid email address. You must keep your email address current.

17.7 Force Majeure. We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, government actions, internet or telecommunications failures, cyberattacks, pandemics, or public health emergencies.

17.8 Relationship of Parties. Nothing in this EULA creates any agency, partnership, joint venture, or employment relationship between you and JobDocs. Neither party has authority to bind the other party.

17.9 Third-Party Beneficiaries. This EULA does not confer any rights or remedies on any person other than you and JobDocs.
